Please read these Terms of Service carefully before using Kinetic IDE. By creating an account or using our services, you agree to be bound by these terms.

These Terms constitute a legally binding agreement between you and Alayra Group LLC ("Alayra", "we", "us", or "our"), a company incorporated in Wyoming, United States.

1. Acceptance of Terms

By accessing or using Kinetic IDE, its website at kinetic-ide.com, its API, or any related service, you confirm that:

• —You are at least 16 years of age
• —You have the legal capacity to enter into this agreement
• —You agree to comply with these Terms and all applicable laws

If you are using Kinetic IDE on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

Kinetic IDE is a proprietary AI-powered development environment built on a fork of VS Code. It provides AI chat, code assistance, RAG-based context indexing, model routing, and related developer tools.

Services are provided on a subscription basis with plan tiers: Trial, Standard, Pro, Founder, and Enterprise. Feature availability varies by plan.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will provide reasonable notice of material changes.

3. Account Registration

You must provide an accurate email address to create an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must notify us immediately at legal@kinetic-ide.com if you suspect unauthorised access to your account.

One account per person. Creating multiple accounts to circumvent limits or abuse trial periods is prohibited.

4. Plans, Payment, and Billing

Trial Plan

New accounts receive a 90-day free trial with limited features and one registered device. No payment method is required for the trial.

Paid Plans

Paid plans are billed through Paddle.com Market Limited, our Merchant of Record. Paddle collects payment, issues invoices, and handles VAT and tax obligations. Your payment relationship for billing purposes is with Paddle.

All prices are displayed in USD and are inclusive of applicable taxes where Paddle is required to collect them.

Subscription Renewals

Subscriptions renew automatically at the end of each billing period. You may cancel at any time through your account settings or by contacting Paddle support.

Founder Plan

The Founder Plan is a one-time lifetime purchase. It is non-transferable and non-refundable except as required by applicable consumer law.

5. Acceptable Use

You may use Kinetic IDE only for lawful purposes. The following are prohibited:

• —Using the service to generate or distribute illegal content
• —Attempting to reverse engineer, decompile, or extract the source code of Kinetic IDE
• —Reselling, sublicensing, or redistributing access to the service
• —Circumventing plan limits, device limits, or trial restrictions
• —Sending abusive, harassing, or harmful content through the AI interface
• —Using the service to develop tools designed to harm others
• —Impersonating any person or entity

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

6. Intellectual Property

Kinetic IDE and all related software, branding, and documentation are the proprietary property of Alayra Group LLC. All rights are reserved.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use Kinetic IDE solely for your personal or internal business development purposes in accordance with these Terms and your applicable plan.

You retain all intellectual property rights in the code you write and projects you create using Kinetic IDE.

7. AI Services and Accuracy

Kinetic IDE routes requests to third-party AI model providers including Anthropic, OpenAI, Groq, and others. AI outputs are generated by probabilistic models and may be inaccurate, incomplete, or unsuitable for your specific use case.

You are solely responsible for reviewing, testing, and validating any AI-generated code or content before using it in production. We make no warranty regarding the accuracy, fitness, or safety of AI outputs.

8. Service Availability

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance, infrastructure failures, or third-party outages may affect service availability.

Trial plan users have no guaranteed service level agreement. Paid plan users may contact support for service issues.

9. Termination

You may terminate your account at any time by contacting us at legal@kinetic-ide.com.

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law.

On termination, your right to use the service ceases immediately. Data deletion occurs within 30 days as described in our Privacy Policy.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Alayra Group LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Kinetic IDE, including loss of data, loss of revenue, or business interruption.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

Kinetic IDE is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Wyoming, United States. If you are a consumer in the EU or UK, you retain the right to bring claims in your local courts.

13. Changes to These Terms

We will notify you of material changes to these Terms by email and by notice on kinetic-ide.com at least 30 days before they take effect. Your continued use of the service after the effective date constitutes acceptance.
