End User Licence Agreement (EULA)

This End User Licence Agreement ("EULA") is a legal agreement between you ("User") and Alayra Group LLC ("Alayra"), governing your use of the Kinetic IDE software, including all VS Code extensions, desktop applications, and associated components (collectively, the "Software").

By installing, downloading, or using the Software, you agree to the terms of this EULA. If you do not agree, do not install or use the Software.

1. Licence Grant

Subject to your compliance with this EULA and your active subscription or trial entitlement, Alayra grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to:

• —Install and use the Software on the number of devices permitted by your plan tier
• —Use the Software solely for your own personal or internal business development purposes

This licence does not include the right to distribute, resell, or make the Software available to third parties.

2. Device Limits

Your licence to install and use the Software is subject to the following device limits based on your plan:

• —Trial: 1 registered device
• —Standard: 3 registered devices
• —Pro: 5 registered devices
• —Founder: 5 registered devices
• —Enterprise: up to 20 registered devices (or as agreed in your enterprise contract)

Devices are registered by hardware fingerprint. Exceeding your device limit requires an account upgrade.

3. Restrictions

You must not, and must not permit any third party to:

• —Copy, modify, adapt, translate, or create derivative works of the Software
• —Reverse engineer, disassemble, decompile, or attempt to extract the source code of the Software
• —Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
• —Use the Software to create a competing product or service
• —Distribute, sublicence, rent, lease, loan, or transfer the Software or your access to any third party
• —Use the Software in any manner that violates applicable law or regulation
• —Circumvent any technical protection measures in the Software

4. Ownership

The Software is licensed, not sold. Alayra Group LLC retains all right, title, and interest in and to the Software, including all intellectual property rights. You acquire no ownership rights by using or purchasing access to the Software.

Your code, projects, and creative work produced using the Software remain your property. We claim no rights over content you create.

5. Updates and Modifications

Alayra may release updates, patches, or new versions of the Software from time to time. Updates may be installed automatically or at your discretion. This EULA applies to all versions of the Software you use.

We reserve the right to modify, discontinue, or remove features of the Software at any time. For paid plans, we will provide reasonable notice of material feature removals.

6. Third-Party Components

The Software incorporates open-source components and third-party libraries, each subject to their own licence terms. A list of third-party components and their licences is available in the Software documentation.

Your use of AI model providers through the Software is also subject to the terms of those providers (Anthropic, OpenAI, Groq, and others).

7. Term and Termination

This EULA is effective from the date you first install or use the Software and continues until terminated.

Alayra may terminate this licence immediately and without notice if you breach any term of this EULA. Upon termination, you must immediately cease all use of the Software and delete all installed copies.

You may terminate this EULA at any time by uninstalling the Software and closing your account.

8. No Warranty

The Software is provided "as is" without warranty of any kind, express or implied. Alayra does not warrant that the Software will be error-free, uninterrupted, or fit for any particular purpose.

9. Limitation of Liability

To the fullest extent permitted by law, Alayra's total liability under this EULA shall not exceed the amount you paid for your current subscription in the 12 months preceding the claim. Alayra shall not be liable for any indirect, consequential, incidental, or special damages.

10. Governing Law

This EULA is governed by the laws of the State of Wyoming, United States. Any disputes shall be subject to the exclusive jurisdiction of the courts of Wyoming.
